Terms of Service

These terms are the agreement between you and BASEMODE LLC ("basemode", "we", "us") covering everything we run: the website at basemode.ai, the account portal at app.basemode.ai, the base command line program, and the API. Using any part of it means you accept these terms. If you are accepting on behalf of a company, you are confirming you are allowed to bind that company, and "you" means the company from here on.

1. Your account

You need an account for everything except the public website. You are responsible for keeping your password and your API tokens to yourself, and for what happens under your account. If you think somebody else has got into it, write to hello@basemode.ai and we will help you shut it down.

You need to be old enough to enter into a contract where you live, and at least 16 years old. This is a tool for work and we do not offer it to children.

2. Your organisation

Accounts sit inside an organisation. Whoever creates the organisation owns it, and the owner decides who else is invited, what role each person holds, and which parts of the organisation's content each person can read or write.

If your employer created the organisation, your employer controls it. They can read the organisation's content, change what you are able to reach, and remove your access. If you leave, your access leaves with you and the content stays with the organisation. That is worth knowing before you write anything personal into it.

An owner can hand ownership to somebody else. We act on instructions from a current owner. If there is a disagreement inside your company about who that is, we cannot settle it for you.

3. What you put in stays yours

Everything you write into basemode belongs to you. That covers the decisions, rules and notes your team records, whatever we read out of the systems you connect, and the structure we parse out of your code. We claim no ownership of any of it.

To run the service we need your permission to store it, copy it to the machines your team works on, index it, and show it back to the people you have granted access. That permission exists only so the service can work, it covers nothing else, and it ends when you delete the content or close the account.

We do not use your content to train machine learning models. We do not sell it, and we do not hand it to anyone else for their own purposes. What we do with it is set out in full in the privacy policy.

You are responsible for what you put in. Do not put in anything you do not have the right to hold, and keep personal information about other people to what your work actually requires.

4. What you may not do

Do not use basemode to break the law, to store or distribute material you have no right to, or to attack, overload or reverse engineer the service. Do not try to reach another organisation's content, or to get around the limits on your plan. Do not resell access to somebody who is not part of your organisation.

If what you are doing threatens the service or another customer, we may suspend the account while we sort it out. We will tell you why, and we will restore it if it turns out we were wrong.

5. The command line program

We grant you the right to install and run the base program on machines you or your organisation control, for as long as your account is in good standing. You may not redistribute it, sell it, or take it apart to build a competing product.

The program writes to files on your machine, records what it touched, and puts all of it back when you remove it. It runs with the permissions of whoever runs it. You are responsible for deciding it is safe to run in your environment, the same as with any other tool you install.

6. Connected accounts

You can connect basemode to other systems you already use. When you do, you are telling us to read from that system on your behalf, using the access you grant. We only take what is needed to do the job you connected it for.

Those systems are run by other companies under their own terms, and we are not responsible for what they do or for what happens if they go down or change. You can disconnect any of them at any time, and doing so stops any further reading immediately.

7. Plans and billing

Solo work is free and stays free. Paid plans are billed per person, per month, at the price shown on basemode.ai when you subscribe. Reads are not billed, because they are served from the copy on your own machine and never reach us. What gets billed is what is written and what is kept.

Payments are taken by Stripe. Your card details go straight to them and never reach us, and what we keep is a reference number and the plan you are on. If we ever change who takes payments, we will name the new processor here and email account owners before the first payment goes through them.

A plan counts everyone with a login to your workspace. Add someone and the next bill goes up; remove someone and it goes down.

There are no contracts and no minimum term. You can cancel at any time from the portal, and your access continues to the end of the period you have already paid for. We do not refund time that has already been served. If we get a charge wrong, tell us and we will fix it.

If we change our prices, we will give you at least 30 days' notice by email before it affects you, and you can cancel in that window.

8. Availability

We work to keep the service up, and we do not promise a particular level of uptime. A written service level agreement is part of an Enterprise agreement and is negotiated separately.

Because every machine holds its own copy, reads keep working during an outage. What an outage stops is writing, syncing between machines, signing in, and administration. Where we post incidents is on thestatus page.

We may change how the service works, add things and remove things. If we remove something you rely on, or make a change that materially reduces what you get, we will give you notice by email and a way to export what you have.

9. Ending it

You can close your account whenever you like. What happens to your data afterwards, and how long it takes to disappear, is in theprivacy policy.

We can end this agreement if you break these terms, if your use puts the service or another customer at risk, or if we are required to. Except where the law or a serious breach makes it impossible, we will give you notice and a chance to get your content out first.

Sections 3, 10, 11 and 13 survive the end of this agreement.

10. What we do not promise

The service is provided as it is. Beyond what is written in these terms, and beyond what the law requires and does not let us disclaim, we do not make guarantees about it, including that it will be uninterrupted, error free, or that it will produce a particular result for you.

basemode holds what your team writes into it and what it reads out of your systems. It is not a system of record and it is not a backup. Keep your own copies of anything you cannot afford to lose.

Agents read from basemode and act on what they read. The decisions those agents make, and their consequences, are yours. Review anything that matters before it ships.

11. Limits on liability

Neither of us is liable to the other for indirect losses, lost profits, lost revenue or lost data, even if we were told they were possible.

Our total liability to you for anything arising out of this agreement is limited to what you paid us in the 12 months before the claim. While the service is free, that is nothing, which is the trade you make for something that costs nothing.

Nothing here limits liability that the law does not allow us to limit.

12. Covering each other

You will cover us against claims brought by somebody else because of the content you put into basemode, or because of the way you used the service in breach of these terms.

13. Confidentiality

Each of us may learn things about the other that are not public. Neither of us will pass those things on, or use them for anything other than this agreement, except where the law requires it. Your content is your confidential information, and we treat it that way.

14. Changes to these terms

We will update these terms from time to time. If a change matters to you, we will email the account owner at least 30 days before it takes effect, and the date at the top of this page will change. Carrying on using the service after that means you accept the new version. If you do not, cancel before it starts.

15. The law that applies

This agreement is governed by the law of the State of Wyoming, in the United States, and the courts of Wyoming are where any dispute is decided.

Before either of us files anything, we will talk. Write tohello@basemode.ai describing the problem and give us 30 days to sort it out.

16. The rest

These terms, together with any Enterprise agreement you have signed, are the whole agreement between us and replace anything said beforehand. If a court finds part of it unenforceable, the rest still stands. If we do not enforce something straight away, we have not given up the right to enforce it later. You cannot transfer this agreement without our written agreement; we can transfer it to a company that acquires the business.
